Pay-Later Terms & Conditions

This agreement is between XYZ World Inc, trading as ÉCLAT US (“ÉCLAT”), and the business identified in the accepted exhibitor booking (“Exhibitor”).

1. Agreement to Pay

By selecting the Pay-Later option and accepting these terms, the Exhibitor agrees to pay the full participation amount shown in the accepted booking summary, subject to any applicable adjustments under this agreement.

Pay Later changes when payment is due. It does not make participation complimentary, optional, or dependent on the results of the event.

The payment commitment takes effect when ÉCLAT confirms the booking in writing. An unaccepted application or waitlist submission alone does not create a payment obligation.

2. Payment Deadline

Full payment must be received no later than seven calendar days after the event’s final public operating day.

The day immediately following the event’s final day counts as Day 1. Calendar days include weekends and public holidays. The deadline is 11:59 p.m. in the event venue’s local time zone on Day 7, unless applicable law requires otherwise.

For a multi-day event, the deadline is calculated from the final day of the entire event—not from the Exhibitor’s last day of attendance or departure.

The exact payment due date will appear in the booking confirmation and invoice.

3. Amount Due and Invoicing

The amount payable is the participation fee, approved additions, and any applicable taxes disclosed in the accepted booking summary, less any payments or agreed credits.

ÉCLAT will provide an invoice and payment instructions to the billing contact supplied by the Exhibitor. The Exhibitor must provide accurate billing information and promptly report any missing invoice or inaccessible payment link.

The payment deadline runs from the event’s final day, not from the invoice date or the date of a payment reminder. An invoice issued before the event does not accelerate the agreed post-event deadline.

Additional charges may not be added without the Exhibitor’s prior agreement.

4. Payment Is Not Dependent on Event Results

The participation fee is payment for the booth space and other benefits expressly included in the accepted booking. It is not a commission or success-based fee.

Unless expressly guaranteed in writing, ÉCLAT does not guarantee attendance numbers, booth traffic, leads, sales, appointments, revenue, or return on investment.

Lower-than-expected results, lack of sales, or dissatisfaction with commercial outcomes alone do not reduce the agreed fee or extend the payment deadline.

This provision does not remove the Exhibitor’s legitimate rights concerning incorrect charges or ÉCLAT’s failure to provide expressly agreed space or benefits.

5. Cancellations, Withdrawals, and No-Shows

Selecting Pay Later does not provide an additional right to cancel a confirmed booking or avoid cancellation or no-show charges otherwise agreed at booking.

Any charges following cancellation, withdrawal, or failure to attend will be determined by the cancellation terms provided to and accepted by the Exhibitor when booking. This payment agreement does not introduce a separate cancellation penalty.

Any release from an existing payment obligation must be confirmed in writing by ÉCLAT or arise under applicable law.

6. Event Cancellation or Postponement

If ÉCLAT cancels the event, no payment will be due for booth space or benefits that are not delivered. Any charge for promotional services already delivered must have been separately priced and expressly agreed in advance.

If the event is postponed and the Exhibitor agrees to transfer its booking, payment will be due within seven calendar days after the rescheduled event’s final public operating day. The original event date will not trigger payment.

Any cancellation rights arising from postponement or a material event change remain governed by the separately accepted booking terms and applicable law.

7. Overdue Payments

An unpaid amount properly due under this agreement becomes overdue after the seven-day deadline.

ÉCLAT may issue a written payment demand, decline future bookings or Pay-Later requests, and pursue lawful recovery of an unpaid balance.

This agreement does not impose an automatic late fee, interest charge, or collection surcharge. Any contractual charges of that kind must be separately disclosed, agreed in writing, and permitted by applicable law.

Any extension of the payment deadline must be agreed by ÉCLAT in writing. A request for an extension does not, by itself, change the deadline.

8. Billing Disputes

The Exhibitor must notify ÉCLAT promptly in writing of any genuine billing dispute, identifying the disputed amount and the reason.

The undisputed portion remains payable by the original deadline. The parties will work in good faith to resolve the disputed portion and document any adjustment or revised payment arrangement.

Nothing in this agreement waives rights or remedies that cannot lawfully be waived.

9. Authority and Payment Authorization

The person accepting these terms confirms that they are authorized to commit the named Exhibitor to the payment obligation.

Acceptance on behalf of a business does not, by itself, create a separate personal guarantee by its representative.

Selecting Pay Later does not authorize ÉCLAT to automatically charge a card or debit a bank account. Any automatic-payment authorization must be obtained separately.

10. Relationship to Other Event Terms

For a confirmed Pay-Later booking, this agreement replaces any conflicting requirement to pay the same participation fee before the event.

All other event participation requirements separately provided to and accepted by the Exhibitor remain applicable. These Pay-Later terms do not incorporate an unaccepted policy or permit ÉCLAT to change the agreed fee unilaterally.
